| Revised 01/11 Professional Services Agreement Form of Work Statement This Work Statement is entered into as of this _______day of _______________by and Between: Jodie Keener, (“Handler”) and _____________________________ (“Client”). Section 1: Description of Services: Dog Handling/Training Grooming Boarding/Conditioning A. This agreement will provide for the handling of class dogs by Jodie Keener, assistants, and associates. It is agreed that the class dogs will be shown for winners by Jodie Keener according to the client’s priority with the handler. Specials, and dogs that are contracted to travel with JBK Jodie Keener, will take preference over class dogs. If a combination of class dogs and/or specials is required to be in the ring at the same time, it is agreed that Jodie Keener will handle the dog with the highest priority and other qualified individuals as necessary will handle the remaining dogs. B. This agreement will provide for the boarding and conditioning of dogs that are in care of and travel with JBK. It is agreed that Jodie Keener will determine the conditioning protocol. C. This agreement will provide for the grooming of dogs that are in the care of and travel with JBK ~ Jodie Keener. It is agreed that dogs that are brought to the show site or to ring side by the Client will be bathed and brushed according to the breed specification. Section 2: Medical and Health Care A. It is agreed that if veterinary care is deemed to be appropriate, at the sole discretion of Jodie Keener, that such care shall be sought immediately and that all charges shall be the responsibility of the owner. Further, it is agreed that Jodie Keener is hereby expressly granted permission to consent to any procedures, whether medical or surgical, that are deemed necessary for the health and well being of the dog. I request that a credit card number be kept on file in the unfortunate case of Emergency care needs to be provided. B. It is agreed that it is the responsibility of the owner to provide Jodie Keener with all medical records along with a current vaccination record and negative fecal exam for each dog. This shall be deemed to include any and all conditions and requirements of the dog which require any attention or special treatment. These records shall be in writing. C. It is understood that all prophylactic treatments such as heartworm preventative and flea and tick preventative shall be furnished by the owner. If same are not furnished by the owner, then permission is hereby granted for Jodie Keener to procure same and owner agrees to reimburse JBK ~ Jodie Keener for same when presented with an invoice. Section 3: Fees Handling (Reg. & Specialty Class Fees) Class Dogs & Bitches $ 50.00 Ring Side Pick ups (no grooming involved) $ 65.00 Special’s (Best of Breed Competition) $ 65.00 Specialty (Supported Entry Classes) $100.00 Specialty WD or WB (Class fee dropped & new fee charged) $150.00 Nationals, Specialties, Westminster, Eukanuba, AKC Classic etc... Prorated Bonuses (in addition to reg. class fees) BOB Win or Champion Win $ 50.00 Group I $100.00 Group II $ 75.00 Group III $ 75.00 Group IV $ 75.00 BIS/National Specialty BIS $250.00 BISS $250.00 Board and Travel Expenses Daily Board $10.00 a day with you Providing the Dogs food and supplements Dogs with special dietary, exercise or grooming needs may incur additional charges as deemed necessary and appropriate. Client will be notified of such charges by Jodie Keener. Travel Expenses (Lodging, Show Assistant. i.e.) Mileage (.40 cents a mile charge) Airport Pickup & Delivery-International or house hold pick up within 50 miles. $100.00 Vet Trip (my local vet or emergency vet on the road) $ 75.00 Grooming (at shows) $ 25.00 & 100.00 depending on coat type Maint. Fee- Med coated dogs (Aussies & BC) $ 25.00 weekly (If not showing) Maint. Fee- Heavy or Long coated dogs $ 45.00 to 75.00 weekly (If not showing) Training - (Show Dogs, Obedience, Rally, Novice.) $ 400.00 to 500.00 Mo. (Board Included) See Additional Rate Form for various other services offered. Section 4: Payment A. It is agreed that handling fees and entry fees are incurred when the entries close for a show unless the decision to pull the dog from a show is made by Jodie Keener, in which event the handling fee will be waived while the show entry will remain an obligation of the owner. B. It is agreed that services are rendered in Johnson County, Texas and that payment for all services are due and payable in Johnson County, Texas. Returned Check fee $100.00 C. All services are due and payable upon receipt of the invoice and shall be considered delinquent if an invoice remains unpaid for 11 days or more. Invoices will be emailed on the 22nd of each month prior to services rendered and payment should be received by the 1st day of the month. D. Delinquent accounts will be charged $10.00 per day or an interest rate of five percent (5%) of the unpaid balance (which ever is higher is charged). It is agreed that JBK~ Jodie Keener is hereby granted a lien on all dogs in the possession of JBK which are the subject of a delinquent account. It is further agreed that if any delinquent account extends beyond 60 days the owners of the Dog will sign papers transferring the dog into sole ownership of JBK. Any delinquent account will require payment by certified funds or cash of the entire balance of the account before the dog(s) is/are released to the owners only. E. It is agreed that if an account becomes delinquent and is brought up to date, that JBK Jodie Keener has the option of requiring an additional deposit for future services before services are resumed. F. It is agreed that a $250.00 to $500.00 (depending on dog breed) per dog deposit will be due at the time services are initiated. This deposit will be applied to the final invoice after services are terminated and any remaining funds will be refunded to the owner. All fees will be paid for in advance for each month. An estimate will be given for billing on the first of the month upon request. (Billing will be adjusted if changes occur during the month.) G. It is agreed that in the event of co-ownership that all parties will enter into this contract and be held responsible for payment for services rendered. A primary owner will be designated to receive the entire invoice amount and is responsible for collection from the other co-owner (s). Section 5: Non-Disclosure A. In connection with the delivery of Services hereunder, the Client may be exposed to confidential and proprietary information of the Company, whether or not so identified. B. (Including without limitation this Agreement). All such confidential and proprietary information shall be subject to the terms and conditions of the Non-Disclosure Agreement, as annexed in Exhibit A. Section 6: Non-Solicitation A. During the period in which the provisions of this contract shall be in effect, the Client, directly or indirectly, shall not seek any prohibitive business from any assistant in the employment or mentoring program of Jodie Keener on behalf of any business, enterprise or third party that is not represented by the Company. For purposes of this agreement prohibitive business is hiring for handling, grooming, house/dog sitting, or any other tasks whereby the assistant is singled-out to provide a service to the Client, business, enterprise or third party for full-time or part-time employment. Section 7: Term and Termination A. The term of this Agreement shall commence on the date hereof and shall be in effect for an indefinite period from the commitment date. B. This Agreement may be terminated by either party upon thirty (30) days prior written notice if the other party breaches or is in default of any obligation here under and such default has not been cured within such thirty (30) day period. If Dog or dogs are picked up before 30 day notice is given. (Deposit, board and any other fees will not be refunded to the owner) C. Neither party shall be liable or deemed to be in default for any delay or failure in performance under this Agreement or interruption of service resulting, directly or indirectly, from acts of God, civil or military authority, acts of the public enemy, war, riots, civil disturbances, insurrections, accidents, fire, explosions, earthquakes, floods, the elements, strikes, labor disputes, shortages of suitable parts, materials, labor or transportation or any causes beyond the control of such party. Section 8: General Terms A. It is agreed that neither Jodie Keener nor any of her associates, contractors, or assistants shall be liable for any damage or damages which may arise from or be a direct result of the boarding, handling, or transporting of any dogs. Owner(s) agree to indemnify Jodie Keener for any property or personal damages which may be caused by a third party. B. It is understood and agreed that this is the entire agreement between Jodie Keener and the owner, and that there are no representations, additions, or exceptions to this contract, other than those which may be made in writing and attached to this document and signed by all parties.
